1	AGS GROUND STRAPS ARE INTENDED FOR COMMERCIAL-INDUSTRIAL USE and ARE MANUFACTURED TO ORDER AS COMMERCIAL/INDUSTRIAL PRODUCT ONLY
2	QUOTE IS VALID FOR 30 DAYS FROM DATE OF QUOTE.
3	ALL TRANSACTIONS ARE FILED AND KEPT FOR A MAXIMUM OF 90 DAYS ONLY
4	DISCOUNT (PER DELIVERY PER LINE ITEM) MINIMUM TO 99 is at BASE PRICE,  100-249 -2%,  250-499 -5%,  500-999 -7%,  1000+ -10%
5	WE DO NOT BUILD TO ANY GIVEN MIL-SPEC. NOR TO CUSTOMER'S QUALITY PROGRAM OR STANDARDS. ALL STRAPS ARE BUILT TO AGS STANDARDS ALONE.

9	ALTHOUGH WE MAKE CUSTOM STRAPS, WE ARE NOT A SPECIALTY SHOP BUT DEAL IN HIGHER VOLUMES AND REOCCURRING MANUFACTURING.
10	ALL STATE TAXES, IF APPLICABLE, WILL BE THE RESPONSIBILITY OF THE CUSTOMER.
11	RETURNS FOR ANY REASON REQUIRE A RMA NUMBER ISSUED BY AGS.
12	THESE TERMS ARE PART OF OUR OFFER TO SELL AND WILL APPLY REGARDLESS OF CUSTOMER TERMS  AND/OR  CONDITIONS INCLUDED WITH PURCHASE ORDERS.
13	ALL TRANSACTION SHALL BE GOVERNED UNDER THE LAWS OF THE STATE OF OREGON.

We do not accept orders that have conditions, specifications, or internal customer regulations for standards. Products are built to AGS, Inc. specifications, standards and design only. AGS offers no certification other than our standard certification of conformance. Any additional documentation submitted or referenced on a purchase order constitutes a custom strap and will be billed as a custom order if accepted by AGS. AGS grants no warranties written or implied, nor guaranties that standard products produced in our facilities will meet customers's requirements, specifications or application. Such determination must be made by the customer before purchase.

AGS does after review and acceptance of submitted drawings and documentation manufacture custom ground straps to customer's specifications provided such specifications are supplied in full written form at time of request.
UNDER NO CIRCUMSTANCES WILL ANY REQUIREMENTS, AFTER THE FACT OR QUOTE BE ACCEPTED OR BINDING ON ANY ORDER- PERIOD!  IF A CUSTOMER SUBMITS REQUIREMENTS TO THE ORDER AFTER THE QUOTE HAS BEEN SUBMITTED- ANY REQUIREMENTS SUBMITTED IN THE PURCHASE ORDER OR AFTER THE FACT WILL ABSOLUTELY NOT BE BINDING, NOR WILL THEY PERMIT AN ORDER THAT HAS BEEN BUILT TO BE REJECTED. EXCEPTION: ONLY IF SO AGREED TO BY AGS, HOWEVER, SUCH REQUIREMENTS WILL BE BILLED AT $50.00 PER HOUR FOR AS MANY HOURS AS IT TAKES TO COMPLETE OR COMPLY TO CUSTOMERS DOCUMENTATION REQUIREMENTS.

 Specifications referenced on any drawing or purchase order that have not been submitted for review in full form will not be binding on any order. Referenced specifications, terms of purchase or any required documentation posted on a customer's website will not be accepted by AGS or binding on any order. At customer's request, a first article will be supplied for review prior to production . Acceptance and conformance is to be determined by the customer upon receipt of order. Prototypes are a chargeable item and will be billed as time and materials. A sample of a standard part may be supplied to the customer upon request- subject to cost and material on hand. Special order items will have incoming freight charges billed to the customer.

If drawings are submitted to AGS for the purpose of soliciting a RFQ/RFP, only documentation supplied in full written form, and at the time of the request, shall be binding on any quote. Any omissions of referenced documents or specifications, including military specifications, called out on drawings shall not be deemed to be inclusive to the quote. All relevant documents shall be submitted to AGS by the customer and all relative paragraphs shall be clearly identified. Subsequent submissions may affect price, delivery or acceptance of order. AGS does not supply customer's specialized certification or comply with customer's quality programs. Any additional required documentation will be a chargeable item. Engineering cost shall apply and be invoiced as NRE. Set up fees may apply to custom orders. Any required testing shall have pass/fail criteria, procedures, requirements and protocol fully documented in written form so as to be presentable to UL or Environ Laboratories or other customer authorized testing facilities prior to testing. All charges for such testing  and reports are to be paid for up front and in full prior to testing. Testing charges are not refundable regardless of test results. Logistical charges may also apply. Testing shall be based upon customer's desired sample size. Product so tested will be paid for by the customer. AGS can not ascertain if a ground strap will meet customer's requirements until test results have been compiled and documented. "Qualification" will be the decision of the customer alone. Some test my be "destructive" which means the strap(s) can not be used- however they will be billed to the customer for time and materials.

Any returns for credit, replacement or repair require a RMA number. Liability is limited to replacement, repair, or refund if straps have been determined not to have been built to drawing requirements. AGS can not control how our ground straps are used or under what conditions or environment they are used therefore all straps are used at customer's risk and will hold American Grounding Systems, Inc. harmless for any and all incidents. Custom straps that have been manufactured in compliance to customer's specifications including verbal changes or variance made by customer's representative can not be returned. Returns are to be by UPS Ground Service only. By receiving and accepting any AGS products customer is in full agreement with these terms.

Although AGS ground straps may, at customers request, be built with Mil-Spec materials and/or parts, AGS ground straps are not built to any given military specification.
